AGREEMENT TO OUR LEGAL TERMS

We are Roboson India, doing business as Roboson ('Company', 'we', 'us', or 'our'), a company registered in India at Office No – 10, Audi Arcade, Opp – Lake town Society, Bibwewadi, Pune, Maharashtra 411014.

We operate the website http://www.roboson.shopify.com (the 'Site'), as well as any other related products and services that refer or link to these legal terms (the 'Legal Terms') (collectively, the 'Services').

These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity ('you'), and Roboson India, concerning your access to and use of the Services. You agree that by accessing the Services, you have read, understood, and agreed to be bound by all of these Legal Terms. If you do not agree with all of these legal terms, then you are expressly prohibited from using the services, and you must discontinue use immediately.

We will provide you with prior notice of any scheduled changes to the Services you are using. The modified Legal Terms will become effective upon posting or notifying you by customercare@roboson.in, as stated in the email message. By continuing to use the Services after the effective date of any changes, you agree to be bound by the modified terms.

 

  1. OUR SERVICES

The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. Accordingly, those persons who choose to access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.

 

  1. INTELLECTUAL PROPERTY RIGHTS
  • Roboson India owns all intellectual property rights in its Services, including source code, databases, software, website designs, and trademarks.
  • These rights are protected by copyright and trademark laws and treaties worldwide.
  • The Content and Marks are provided 'AS IS' for personal, non-commercial use or internal business purpose only.

 

Use of Services

  • Users are granted a non-exclusive, non-transferable, revocable license to access the Services and download or print a copy of any portion of the Content.
  • No part of the Services and Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose without express prior written permission.

Submissions and Contributions

Roboson India Intellectual Property Rights Agreement

  • Users agree to assign all intellectual property rights in their Submissions to Roboson India.
  • Contributions can be created, submitted, posted, displayed, transmitted, published, distributed, or broadcasted.
  • Users grant Roboson unlimited, irrevocable, perpetual, non-exclusive, transferable, royalty-free, worldwide rights and licenses to use, copy, reproduce, distribute, sell, resell, publish, broadcast, retitle, store, publicly perform, display, reformat, translate, excerpt, and exploit.
  • Users are responsible for their posts or uploads and agree to reimburse Roboson for any losses.

 

Copyright Infringement

  • Roboson India respects the intellectual property rights of others and will immediately refer to the 'COPYRIGHT INFRINGEMENTS' section if any material available on or through the Services infringes upon any copyright you own or control.

 

  1. COPYRIGHT INFRINGEMENTS

We respect the intellectual property rights of others. If you believe that any material available on or through the Services infringes upon any copyright you own or control, please immediately notify us using the contact information provided below (a 'Notification'). A copy of your Notification will be sent to the person who posted or stored the material addressed in the Notification. Please be advised that pursuant to applicable law you may be held liable for damages if you make material misrepresentations in a Notification. Thus, if you are not sure that material located on or linked to by the Services infringes your copyright, you should consider first contacting an attorney.

  1. USER REPRESENTATIONS/ EDUCATION

By utilizing the Services, you confirm that all information provided during registration is truthful, accurate, current, and complete. You agree to maintain the accuracy of this information and promptly update it as necessary. Furthermore, you assert that you possess the legal capacity to enter into and comply with these Legal Terms, and that you are not a minor in your jurisdiction. You agree not to access the Services through automated or non-human means, and you will refrain from using the Services for any illegal or unauthorized purposes. Your use of the Services will be in accordance with all applicable laws and regulations.

Should you provide information that is untrue, inaccurate, not current, or incomplete, we reserve the right to suspend or terminate your account and refuse any and all current or future use of the Services, or any portion thereof.

 

  1. USER REGISTRATION

You may be required to register to use the Services. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine, in our sole discretion, that such username is inappropriate, obscene, or otherwise objectionable.

We make every effort to display as accurately as possible the colours, features, specifications, and details of the products available on the Services. However, we do not guarantee that the colours, features, specifications, and details of the products will be accurate, complete, reliable, current, or free of other errors, and your electronic display may not accurately reflect the actual colours and details of the products. All products are subject to availability, and we cannot guarantee that items will be in stock. We reserve the right to discontinue any products at any time for any reason. Prices for all products are subject to change.

 

  1. PURCHASES AND PAYMENT

We accept forms of payment like Visa, Mastercard, Upi, Gpay, PhonePay, Paytm, internet banking, wallet, etc.

You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Services. You further agree to promptly update account and payment information, including email address, payment method, and payment card expiration date, so that we can complete your transactions and contact you as needed. Sales tax will be added to the price of purchases as deemed required by us. We may change prices at any time. All payments shall be in INR.

You agree to pay all charges at the prices then in effect for your purchases and any applicable shipping fees, and you authorise us to charge your chosen payment provider for any such amounts upon placing your order. We reserve the right to correct any errors or mistakes in pricing, even if we have already requested or received payment.

We reserve the right to refuse any order placed through the Services. We may, in our sole discretion, limit or cancel quantities purchased per person, per household, or per order. These restrictions may include orders placed by or under the same customer account, the same payment method, and/or orders that use the same billing or shipping address. We reserve the right to limit or prohibit orders that, in our sole judgement, appear to be placed by dealers, resellers, or distributors

  1. EXCLUSIVE FOR INDIAN SALES

This website's Products are intended for sale exclusively within India. Roboson does not accept responsibility for the delivery or refund of products for individuals accessing the site from countries outside India.

 

  1. MODIFICATIONS AND INTERRUPTIONS

We reserve the authority to alter, adjust, or delete the content within the Services at our sole discretion and without prior notice. While we are not obligated to update any information on our platform, we reserve the right to modify or cease any portion of the Services without notice. We are not liable to you or any third party for any adjustments, changes in pricing, suspensions, or terminations of the Services.

We cannot guarantee continuous availability of the Services, as we may encounter hardware, software, or maintenance issues leading to interruptions or errors. We reserve the right to alter, suspend, or discontinue the Services at any time without notice. You agree that we bear no liability for any losses or inconvenience arising from your inability to access the Services during downtime. These Legal Terms do not oblige us to maintain, support, or provide updates for the Services.

 

  1. VOILANCE AND TERMINATION

Roboson India reserves the right to deny access to its services, including blocking IP addresses, for any reason, including breaches of representation, warranty, or covenant. It may terminate your use or participation in the services or delete your account and any posted content at any time without warning. If you terminate or suspend your account, you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of any third party. Roboson India may also take appropriate legal action, including civil, criminal, and injunctive redress.

The User Agreement remains effective until terminated by either party, and upon termination, all downloaded materials must be destroyed. Roboson India's rights to any comments survive termination. Termination does not cancel your obligation to pay for ordered products or affect any liabilities under the User Agreement.

 

  1. GOVERNING LAW

These Legal Terms shall be governed by and defined following the laws of India. Roboson India and yourself irrevocably consent that the courts of India shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these Legal Terms.

DISPUTE RESOLUTION

Informal Negotiations and Binding Arbitration in Legal Terms

• Parties agree to negotiate any dispute informally for at least 30 days before initiating arbitration.
• Informal negotiations begin upon written notice from one party to the other.

Binding Arbitration

• Any dispute related to these Legal Terms will be resolved by the International Commercial Arbitration Court under the European Arbitration Chamber.
• The arbitration will be conducted in Pune, India, with English as the language of proceedings.
• The governing law of these Legal Terms is the substantive law of India.

Restrictions to Arbitration

• Arbitration will be limited to the individual dispute between the parties.
• No arbitration will be joined with any other proceeding, class-action basis, or representative capacity.

Exceptions to Informal Negotiations and Arbitration

• Disputes involving intellectual property rights, theft, piracy, invasion of privacy, or unauthorised use, and injunctive relief are not subject to these provisions.

 

  1. LIMITATIONS OF LIABILITY

In no event will we or our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the services, even if we have been advised of the possibility of such damages.

 

14.INDEMNIFICATION

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of: (1) your Contributions; (2) use of the Services; (3) breach of these Legal Terms; (4) any breach of your representations and warranties set forth in these Legal Terms; (5) your violation of the rights of a third party, including but not limited to intellectual property rights; or (6) any overt harmful act toward any other user of the Services with whom you connected via the Services. Notwithstanding the foregoing, we reserve the right, at your expense, to assume the exclusive defence and control of any matter for which you are required to indemnify us, and you agree to cooperate, at your expense, with our defence of such claims. We will use reasonable efforts to notify you of any such claim, action, or proceeding which is subject to this indemnification upon becoming aware of it.
